Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and [Company Legal Name] ("Roomlio", "we", "us", or "our") governing your access to and use of the Roomlio website, applications, and services (collectively, the "Service"). Please read them carefully. By creating an account or using the Service, you accept these Terms and our Privacy Policy.
1. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) and have the legal capacity to enter into a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements and that any information you provide is accurate and current.
2. The Service
Roomlio provides an AI-powered platform for generating images and short videos from user-provided prompts and reference images. The Service is provided on a subscription basis with credit-based usage. Features, plans, and credit amounts are described on our pricing page and may be modified from time to time.
3. Accounts
To access most features you must create an account. You are responsible for safeguarding your credentials and for all activity that occurs under your account. Notify us immediately at team@roomlio.space if you suspect unauthorised use. We may suspend or terminate accounts that contain inaccurate information or are used in violation of these Terms.
4. Subscriptions, Billing, and Auto-Renewal
Paid plans are offered on a monthly or annual basis. By subscribing you authorise us, through our payment processor Stripe, to charge your payment method:
- The plan price stated at checkout, plus applicable taxes, immediately upon subscribing; and
- The same amount at the start of each renewal period (each month or year, depending on your billing interval), automatically until you cancel.
Prices, available plans, and credit allotments may change with at least 30 days' notice for existing subscribers; changes will not affect the current paid period.
5. Credits
Each plan includes a monthly allotment of credits used to generate content. Unused credits do not roll over to the next month and have no cash value. Annual plans receive their monthly allotment at the start of each month of the annual billing period.
Plan upgrades: When you upgrade mid-period, you will be billed a prorated amount for the higher plan's remaining time, and your monthly credit allotment will increase accordingly from the next renewal month.
Plan downgrades: Downgrades take effect at the end of your current billing period. You retain access to your current plan's credits until then.
6. Cancellation and Refunds
You may cancel your subscription at any time from Account Settings or by contacting us. Cancellation stops future renewals; you will continue to have access to the Service until the end of the period you have already paid for.
EU/UK consumers — right of withdrawal: If you are a consumer resident in the European Economic Area or the United Kingdom, you have the right to withdraw from a paid subscription within 14 days of subscribing, without giving any reason, by emailing team@roomlio.space. However, by subscribing and using the Service (including generating content) within the withdrawal period, you expressly request that we begin performance immediately and acknowledge that you lose your right of withdrawal once the Service has been fully performed. If you withdraw before any credits have been used, we will refund the amount paid less a reasonable charge for any usage already enjoyed.
Outside the statutory right of withdrawal above, all payments are non-refundable except where required by law or expressly agreed by us.
7. Acceptable Use
You agree not to use the Service to create, upload, share, or attempt to generate any content that:
- Depicts sexual content involving minors, or content that sexualises minors in any way;
- Depicts non-consensual sexual content or intimate imagery of identifiable real people;
- Depicts realistic violence intended to incite harm, or instructions for creating weapons;
- Impersonates a real person, including by generating deepfake-style content of a real person without their explicit consent;
- Infringes any third party's intellectual property, privacy, publicity, or other rights;
- Is unlawful, defamatory, harassing, hateful, or discriminatory;
- Contains malware, viruses, or other harmful code;
- Attempts to bypass, reverse-engineer, or interfere with the Service's security, rate limits, or access controls; or
- Uses the Service to train competing AI models or systematically scrape outputs.
We may remove content that violates these rules, suspend or terminate accounts, and cooperate with law enforcement. We may use automated and manual moderation systems to detect prohibited content.
8. Your Content
Your Input. You retain ownership of the prompts, images, and other content you submit to the Service ("Input"). You grant us a worldwide, non-exclusive, royalty-free licence to host, store, transmit, process, and display the Input solely as necessary to provide and improve the Service. You represent and warrant that you have all rights and permissions necessary to submit your Input.
Generated Output. Subject to your compliance with these Terms and the rights of third parties, we assign to you all rights, title, and interest we may have in the AI-generated content produced specifically for you in response to your Input ("Output"). The same or substantially similar Output may be generated for other users from similar Inputs; we cannot grant you exclusivity, and we do not warrant that the Output is unique, original, or free from third-party rights claims.
Commercial use. Commercial use of Output is permitted on Pro and Business plans only. Users on Hobby or trial plans may use Output for personal, non-commercial purposes only.
AI training. We will not use your Input or Output to train foundation models without your explicit, separate consent.
9. Intellectual Property
The Service, including its software, design, text, graphics, and logos, is owned by Roomlio or its licensors and protected by intellectual-property laws. Except for the limited rights expressly granted in these Terms, no rights are granted to you. "Roomlio" and our logos are our trademarks; you may not use them without our prior written permission.
10. Copyright Complaints (DMCA / Notice and Takedown)
If you believe content on the Service infringes your copyright, send a written notice to team@roomlio.space including: (a) your contact information; (b) identification of the copyrighted work; (c) identification of the allegedly infringing material with sufficient detail to locate it; (d) a statement that you have a good-faith belief that the use is not authorised; (e) a statement, under penalty of perjury, that the information is accurate and that you are authorised to act on the copyright owner's behalf; and (f) your physical or electronic signature. We will respond to valid notices in accordance with applicable law (including the U.S. DMCA and the EU Digital Services Act where applicable).
11. Disclaimers
The Service and all Output are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and quiet enjoyment. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that Output will be accurate, unique, or suitable for any particular purpose.
AI-generated content may contain inaccuracies, biases, or artefacts. You are solely responsible for reviewing, verifying, and deciding whether to use any Output.
Nothing in this section limits any warranties or consumer rights that cannot be excluded or limited under applicable law.
12. Limitation of Liability
To the maximum extent permitted by law, in no event will Roomlio or its directors, officers, employees, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, goodwill, or use, even if advised of the possibility of such damages.
Our total aggregate liability for any claim arising out of or relating to these Terms or the Service is limited to the greater of (a) the amount you paid us in the 12 months preceding the event giving rise to the claim, or (b) one hundred euros (EUR 100).
Nothing in this section limits liability that cannot be limited or excluded under applicable law, including liability for gross negligence, wilful misconduct, fraud, or death or personal injury caused by negligence.
13. Indemnification
You agree to indemnify and hold harmless Roomlio and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to (a) your use of the Service in breach of these Terms; (b) your Input or Output; or (c) your violation of any law or third-party right.
14. Suspension and Termination
We may suspend or terminate your access to the Service immediately, with or without notice, if we reasonably believe you have violated these Terms, used the Service in a way that creates risk or liability for us or other users, or if required by law. You may terminate by deleting your account in Account Settings; see our Privacy Policy for the consequences for your data and Stripe subscription.
Sections 8 (Your Content, regarding past Inputs/Outputs), 9, 11, 12, 13, 16, 17, and 18 survive termination.
15. Changes to the Service or Terms
We may modify, suspend, or discontinue any part of the Service at any time. We may amend these Terms by posting the updated version on this page. For material changes affecting your rights or obligations, we will give you at least 30 days' notice (e.g., by email or in-product notice) before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Service before the changes take effect.
16. Governing Law and Venue
These Terms are governed by the laws of [Governing Law Jurisdiction], without regard to its conflict-of-laws principles. The courts of [Venue / Competent Courts] have exclusive jurisdiction over any dispute arising out of or relating to these Terms, except that consumers may also bring proceedings in the courts of the country where they are resident, where applicable mandatory consumer-protection law so requires.
17. EU Online Dispute Resolution
Consumers resident in the EU may also use the European Commission's online dispute-resolution platform at ec.europa.eu/consumers/odr. We are not obliged to and currently do not participate in alternative dispute-resolution proceedings before a consumer-arbitration board.
18. Miscellaneous
- Entire agreement: These Terms and the documents referenced in them constitute the entire agreement between you and us regarding the Service.
- Severability: If any provision is held invalid or unenforceable, the remaining provisions remain in full effect.
- No waiver: Our failure to enforce a provision is not a waiver of our right to do so later.
- Assignment: You may not assign these Terms without our prior written consent. We may assign them to an affiliate or successor in connection with a merger, acquisition, or sale of assets.
- Force majeure: Neither party is liable for delays or failures caused by events beyond its reasonable control.
- Notices: We may send notices to the email associated with your account. You may send legal notices to us at team@roomlio.space.
